This Affiliate / Ambassador Program Agreement (“Agreement”) is entered into between Assist LLC (“Assist,” “we,” “us,” or “our”) and the individual or entity accepting these terms through the Ambassador section of the Assist platform (“Ambassador,” “you,” or “your”), effective as of the date the Ambassador electronically accepts this Agreement (“Effective Date”).

By generating, activating, or using an ambassador link within Assist, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not activate or use an ambassador link.

1. Overview

Assist offers an Ambassador program that allows approved users to generate a unique referral link (“Ambassador Link”) within the Ambassador section of the Assist platform. When a prospective customer visits the Assist sales page through an Ambassador Link and completes a qualifying action (as defined in Section 3), the Ambassador may be eligible for compensation as described in Section 4.

2. Eligibility & Acceptance

  • Ambassador Links are not active until this Agreement has been read and accepted in full.
  • Becoming an Ambassador requires completing Assist’s sign-up flow, which includes electronic acceptance of this Agreement, a manual approval step by Assist, and standard bot/fraud-prevention screening. Assist reserves the right to approve, suspend, or deny Ambassador status at its sole discretion, including for existing Ambassadors found to be in violation of this Agreement.
  • Acceptance of this Agreement occurs electronically during sign-up and constitutes a binding agreement between you and Assist. Your Ambassador Link is issued only after Assist’s approval step is complete.

3. Ambassador Link Usage

  • Your Ambassador Link may only be used to route genuine prospective customers to the official Assist sales page.
  • You may share your Ambassador Link through social media, content (e.g., testimonials, tutorials), email, or direct outreach, provided the promotion is truthful and not misleading.
  • You may not: (a) purchase paid search advertising on Assist’s brand terms; (b) use spam, deceptive, or unsolicited messaging; (c) misrepresent your relationship with Assist; (d) apply your own Ambassador Link to your own purchases or accounts (“self-referrals”); or (e) offer unauthorized discounts, rebates, or incentives in Assist’s name.
  • A “qualifying referral” means a new customer who signs up for a paid Assist subscription after being routed through your Ambassador Link, and who is not an existing or former Assist customer within the prior 12 months.

4. Compensation & Payout Structure

Ambassadors who generate qualifying referrals are eligible to receive compensation as follows:

  • Commission Rate. Ambassador earns twenty percent (20%) of the referred customer’s monthly subscription payment to Assist, for each month the referred customer remains a paying subscriber.
  • Annual-Plan Referrals. If the referred customer is on an annual subscription plan, the applicable commission is calculated on an annualized basis and divided evenly across twelve (12) monthly payments, paid on the same monthly cadence as commissions for monthly-plan referrals.
  • Duration. Commission continues for as long as the referred customer remains an active, paying Assist subscriber. Commission ends the month the referred customer’s subscription lapses, cancels, or is not renewed.
  • Payout Eligibility Window. Each month’s commission becomes eligible for payout thirty (30) days after the corresponding referral payment is received by Assist, to allow time for refunds, chargebacks, or cancellations to be accounted for.
  • Payout Method & Schedule. Payouts are made via Stripe (to the Ambassador’s linked bank account) on a monthly basis, subject to the 30-day eligibility window above. Payout mechanics will be communicated to each Ambassador as part of the sign-up and onboarding process.
  • Cancellation Audit & Adjustment. Assist does not currently have automated tracking in place to detect the moment a referred customer’s subscription is cancelled. Until that capability is built, Assist reserves the right to periodically audit referral and subscription records and to adjust, withhold, or reclaim (including by deduction from future payouts or direct invoice) any commission paid for a period after the referred customer’s subscription had already lapsed or been cancelled.
  • Ambassador Portal. Assist provides (or will provide) a lightweight portal showing an Ambassador’s referrals and earnings. Portal access does not include access to Assist’s full CRM or customer data beyond what is needed to view referral and earnings summaries.
  • Changes to Terms. Assist reserves the right to modify commission rates and payout terms prospectively, with advance notice to active Ambassadors; changes will not retroactively affect referrals that qualified prior to the change.
  • Tracking & Attribution. Assist will track and attribute referrals through its own systems; Assist’s tracking records are the sole basis for determining whether a referral qualifies for compensation.
  • Questions & Disputes. Ambassadors with questions about a referral, commission, or payout should contact Assist Support. Support will escalate payout-specific disputes internally to the team member responsible for processing Ambassador payouts.

5. Content, Testimonials & Incentives

  • Ambassador Link access is the primary incentive for testimonial and content-creator participation in this program.
  • Any additional incentives (e.g., branded swag) are provided at Assist’s discretion as a thank-you after content has been created and published, and are never offered as a condition or inducement prior to content creation.
  • Ambassadors agree that any testimonials or content created in connection with this program will be truthful, will not make claims about Assist that Assist has not authorized, and may be requested for removal by Assist if inaccurate or non-compliant with applicable advertising disclosure laws (e.g., FTC endorsement guidelines, including disclosure of the affiliate relationship).

6. Term & Termination

  • This Agreement remains in effect until terminated by either party.
  • You may terminate this Agreement at any time by discontinuing use of your Ambassador Link and notifying Assist.
  • Assist may suspend or terminate your Ambassador status and this Agreement at any time, with or without cause, with or without notice, including for violation of Section 3 or Section 5.
  • Upon termination, your Ambassador Link will be deactivated. Compensation for qualifying referrals completed prior to termination will be paid according to Section 4, subject to Assist’s standard verification and anti-fraud review.

7. Intellectual Property

  • Assist retains all right, title, and interest in and to the Assist name, logo, trademarks, platform, and all related content and materials. Nothing in this Agreement grants you any ownership interest in Assist’s intellectual property.
  • You grant Assist a non-exclusive, royalty-free, worldwide license to use, reproduce, and display any testimonial or content you create referencing Assist for Assist’s marketing purposes, unless you and Assist agree otherwise in writing.
  • You retain ownership of original content you create (e.g., videos, posts), subject to the license granted above.
  • You may not use Assist’s name, logo, or branding in a way that suggests endorsement, partnership, or affiliation beyond what is expressly permitted under this Agreement.

8. Independent Relationship

Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Assist. You are acting as an independent contractor solely for purposes of the Ambassador program and are solely responsible for any tax obligations arising from compensation received under this Agreement.

9. Disclaimer & Limitation of Liability

Assist makes no guarantee regarding the number of referrals, conversions, or compensation an Ambassador will receive. To the fullest extent permitted by law, Assist’s total liability arising out of or related to this Agreement will not exceed the total compensation paid to you under this Agreement in the preceding three (3) months.

10. General Provisions

  • Amendments. Assist may update this Agreement from time to time. Continued use of your Ambassador Link after notice of changes constitutes acceptance of the updated terms.
  • Governing Law. This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
  • Entire Agreement. This Agreement constitutes the entire agreement between you and Assist regarding the Ambassador program and supersedes any prior discussions or understandings on this subject.
  • Severability. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect.

11. Acceptance

By clicking “I Agree” (or equivalent) prior to Ambassador Link activation, you confirm that you have read, understood, and agree to be bound by this Agreement.
